Terms of Service

These Terms apply to FaceHeart's official Website, including any content, features, functionality, and services made available on or through the Website. Access to, integration, deployment, testing, evaluation, purchase, or use of FaceHeart products or services remains subject to separate written customer agreements and applicable product-specific documentation.

1. Scope and Acceptance

These Website Terms of Use (these “Terms”) govern your access to and use of FaceHeart's official website located at https://faceheart.com, any subdomains and pages thereof, any other official FaceHeart website page that links to these Terms, and any content, features, functionality, and services offered on or through the foregoing (collectively, the “Website”).

These Terms are entered into by and between you and FaceHeart Inc., a company incorporated in Taiwan (R.O.C.) (“FaceHeart”, “we”, “us”, or “our”). References to “FaceHeart” on the Website may include FaceHeart Inc. and, where applicable, its affiliates; however, these Terms are issued by and entered into with FaceHeart Inc.

By accessing or using the Website, you agree to these Terms. If you do not agree to these Terms, please do not use the Website. If you access or use the Website on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization.

If you lack full legal capacity or have limited legal capacity, you may only use the Website after your parent (or legal guardian) has read, understood, and agreed to all the contents of these Terms and any subsequent modifications. By using or continuing to use the Website, it is presumed that your parent (or legal guardian) has read, understood, and agreed to accept all the contents of these Terms and any subsequent modifications. You and FaceHeart agree that all contents regarding the use of the Website, including any declarations of intent, shall be expressed in the form of electronic documents.

 2. Website Use and Relationship to Customer Agreements 

These Terms govern access to and use of the Website, including public Website content, features, functionality, and services offered on or through the Website. They do not, by themselves, grant any license or right to access, integrate, deploy, test, evaluate, or use FaceHeart's products, software, SDKs, Web SDKs, APIs, cloud services, support services, pilots, proof-of-concept projects, or enterprise deployments.

Any access to, license of, purchase of, integration with, deployment of, testing of, evaluation of, or use of FaceHeart products or services is subject to a separate written customer agreement, order form, statement of work, data processing agreement, service level agreement, product documentation, labeling, instructions for use, or other written documentation signed or accepted by FaceHeart and the relevant customer.

If there is any conflict between these Terms and such separate written documentation, the separate written documentation will prevail for the applicable product or service.

3.   Product Information and Medical Disclaimer 

FaceHeart's products and services are generally made available under separate written agreements to business customers, healthcare organizations, software developers, system integrators, distributors, or other customers and partners. Website descriptions of FaceHeart technology, product features, performance, compatibility, availability, regulatory status, use cases, or product roadmaps are provided for general business and informational purposes only and do not constitute medical advice, diagnosis, treatment, emergency medical services, or a substitute for professional healthcare judgment. Any references on the Website to FDA clearances or other medical regulatory status apply exclusively to the specific, approved versions of the FaceHeart products (e.g., FH Vitals SDK). Marketing materials, blogs, and use cases presented on the Website do not qualify as medical devices and must not be relied upon for clinical diagnosis or as a substitute for professional medical judgment.

FaceHeart products and software may be used only for the purposes, conditions, environments, populations, limitations, and instructions described in the applicable product documentation, labeling, instructions for use, regulatory documentation, and separate written customer agreement. Any product-specific intended use, indications, contraindications, warnings, limitations, technical requirements, and regulatory status are governed by such applicable documentation and written customer agreement, not by the Website alone.

Without limiting the applicable product-specific documentation, FaceHeart products may be limited to non-invasive spot measurements or supplemental assessment tools, may require healthcare professional supervision or instruction, and may not be intended for continuous monitoring, apnea detection, critical care, diagnosis, treatment, or as the primary or sole method for evaluating an individual's health, depending on the applicable product and regulatory documentation.

Customers, developers, integrators, distributors, operators, and other partners are responsible for ensuring that their own applications, devices, services, workflows, end-user interfaces, labeling, instructions for use, training, privacy notices, security controls, and marketing authorizations comply with applicable laws and regulatory requirements in the jurisdictions where they are offered or used, except to the extent expressly agreed by FaceHeart in a separate written agreement.

4.   Permitted Use and Restrictions 

When using the Website and its services, you shall comply with the laws of the Republic of China (Taiwan) and international internet practices. If you are a user outside the jurisdiction of the Republic of China, you shall also comply with the laws of your country or region. You shall not use the Website for any illegal purpose or in any illegal manner, nor shall you use the Website to infringe upon the rights of others or engage in illegal or improper acts.

You may use the Website only for lawful informational and business purposes. You must not interfere with, disrupt, damage, or compromise the operation or security of the Website; attempt to gain unauthorized access to any system, network, account, source code, non-public area, or data; or use the Website in a manner that violates applicable law or any third-party rights.

Except as permitted by applicable law or our prior written consent, you must not copy, scrape, crawl, harvest, bulk download, or use automated tools to access the Website; reverse engineer, decompile, disassemble, or attempt to derive source code from any Website component or downloadable material; or upload, transmit, or introduce any unlawful, harmful, misleading, malicious, or security-compromising content. You must not use the Website (including its contact forms) to post, transmit, or distribute any content that is defamatory, insulting, threatening, harassing, abusive, false, or that constitutes spam or unsolicited commercial messages.

5.   Website Interruption and Maintenance 

FaceHeart may temporarily suspend or interrupt all or part of the Website services for hardware or software relocation, replacement, upgrade, or maintenance, or due to natural disasters or other force majeure events. FaceHeart shall not be liable for any direct or indirect damages, data loss, or inconvenience resulting from such suspension, interruption, or inability to use the Website. 

6.   Intellectual Property

The Website and its content, including text, graphics, images, videos, documents, logos, trademarks, service marks, software, layout, design, and other materials, are owned by FaceHeart or its licensors and are protected by applicable intellectual property and other laws. Such intellectual property rights include, but are not limited to, trademark rights, patent rights, copyrights, trade secrets, and know-how. No one may use, modify, reproduce, publicly broadcast, adapt, distribute, rent, issue, publicly transmit, publicly publish, reverse engineer, decompile, or disassemble any such content without prior consent. If you wish to quote or reproduce the aforementioned software or Website content, you must obtain prior written consent from FaceHeart or other rights holders, unless expressly permitted by these Terms or laws. Respecting intellectual property rights is your obligation. In the event of a violation, you shall be solely responsible for all legal liabilities and shall indemnify the Company for all damages, including but not limited to litigation costs and attorney fees.

Subject to these Terms, FaceHeart grants you a limited, revocable, non-exclusive, non-transferable right to access and view the Website for lawful informational and business purposes. No other rights are granted. You may not use FaceHeart's name, logo, trademarks, product names, or other brand features without FaceHeart's prior written consent.

7.   Submissions, Inquiries, and Feedback 

If you submit inquiries, comments, ideas, suggestions, or feedback through the Website, you grant FaceHeart a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use such submissions for operating, improving, developing, and promoting the Website, products, and services, without obligation to compensate you.

Please do not submit confidential, proprietary, sensitive, patient, or personal health information (including but not limited to personal facial scan videos, biometric data, or any physiological measurement data) through the Website unless FaceHeart has expressly provided an approved secure channel or a separate written agreement applies. Personal data submitted through the Website will be handled in accordance with FaceHeart's Privacy Policy.

8.   Privacy and Product Data 

FaceHeart's collection, use, disclosure, and protection of personal data through the Website are described in our Privacy Policy, which is incorporated into these Terms by reference. These Terms and FaceHeart's Website Privacy Policy apply solely to your browsing and interaction with this official Website. If you download, test, or use the FaceHeart Vitals™ APP or other FaceHeart software, the collection and processing of any facial data and physiological data will be independently governed by the “APP Privacy Policy” and applicable customer agreements.

Before collecting, using, or providing any third-party personal data through the Website, you must obtain prior written consent from such third party. You shall be liable for any claims, damages, and legal costs arising from your failure to obtain such consent.

For product or service deployments involving a customer, data protection, security, processing roles, cross-border transfers, retention, audit, incident response, and related matters should be addressed in the applicable customer agreement, data processing agreement, security documentation, or other written documentation.

9.   Cookies

FaceHeart and our third-party service providers use cookies and similar tracking technologies on your computer or mobile device to track activity on the Website and hold certain information.

Cookies are used to conduct various analyses and data collection to improve the Website's performance and provide you with a more convenient and comprehensive service. Any third-party analytics tools used on the Website are governed by their respective privacy policies.

You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent. However, if you do not accept cookies, you may not be able to use some portions or features of the Website.

10. Third-Party Links and Materials 

The Website may contain links to third-party websites, tools, resources, or materials for convenience or reference. FaceHeart does not control and is not responsible for any third-party content, availability, security, privacy practices, products, services, or terms. Your use of third-party websites or services is at your own risk and subject to the applicable third-party terms.

11. Disclaimers 

To the maximum extent permitted by applicable law, the Website and Website content are provided on an “as is” and “as available” basis. FaceHeart makes no warranty that the Website will be uninterrupted, secure, error-free, free of harmful components, complete, accurate, current, or suitable for any particular purpose.

FaceHeart does not warrant that public Website content will reflect the most current product specifications, commercial terms, regulatory status, roadmap, compatibility requirements, labeling, instructions for use, or technical documentation. Customers should rely on the applicable written customer agreement and product documentation for binding terms and product-specific requirements.

12.   Limitation of Liability

To the maximum extent permitted by applicable law, FaceHeart and its affiliates, directors, officers, employees, agents, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenues, data, goodwill, business opportunities, anticipated savings, or business interruption, arising out of or related to your access to or use of, or inability to access or use, the Website.

To the maximum extent permitted by applicable law, FaceHeart's liability arising out of or related to the Website or these Terms will be limited to direct damages actually and reasonably incurred as a result of FaceHeart's breach of these Terms.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, gross negligence where such liability may not be excluded, or any mandatory statutory liability. Any liability arising from FaceHeart's products, software, SDKs, APIs, cloud services, support services, pilots, proof-of-concept projects, or enterprise deployments will be governed by the applicable written customer agreement.

13.   Indemnification for Website Misuse 

You agree to indemnify and hold harmless FaceHeart and its affiliates, directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable expenses, including reasonable attorneys' fees, arising out of or related to: (a) your unlawful use of the Website; (b) your violation of these Terms; or (c) any content, information, or materials you submit through the Website that infringe, misappropriate, or violate any third-party right or applicable law.

14.   Suspension, Changes, and Termination 

FaceHeart may modify, suspend, or discontinue the Website or any Website content at any time. FaceHeart may also suspend or terminate your access to all or part of the Website if FaceHeart reasonably believes that you have violated these Terms, applicable law, or the security or integrity of the Website.

FaceHeart may update these Terms from time to time by posting the updated version on the Website and changing the effective date. Your continued use of the Website after the updated Terms become effective means that you accept the updated Terms. Updates to these Terms will not automatically amend any separate written customer agreement between FaceHeart and a customer.

15.   Validity, Governing Law and Jurisdiction 

These Terms constitute a valid contract between you and FaceHeart. If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.

These Terms are governed by the laws of Taiwan (R.O.C.), without regard to conflict-of-law rules. Unless a separate written agreement provides otherwise, any dispute arising out of or related to these Terms or the Website will be subject to the exclusive jurisdiction of the Taipei District Court, Taiwan, as the court of first instance.

If any mandatory law gives you rights or remedies that cannot be waived or limited by these Terms, nothing in these Terms is intended to waive or limit those rights or remedies.

16.   Notice 

Unless otherwise required by law, any notice or communication from FaceHeart to you may be provided by posting on the Website. Any such notice will be deemed delivered upon posting.

17.   Language 

These Terms may be made available in English and Chinese. The English version will prevail to the extent of any inconsistency between the English and Chinese versions, unless applicable law requires otherwise.
